Webinar | Malaysian Investment Bankers Association’s programme: ESG in Equity Offerings

Our Senior Partner, and Head of the Corporate Division of Skrine, as well as Co-Head of the firm’s ESG Practice Group, To’ Puan Janet Looi, together with Puan Sharifah Shafika Alsagoff, partner in Banking and Finance practice group, were panel of speakers in the Malaysian Investment Bankers Association’s (MIBA) programme: ESG in Equity Offerings organised by Malaysian Investment Bankers Association (MIBA) on 5 October 2022.
 
To’ Puan Janet and Puan Shafika’s session covered “Malaysia’s ESG Position”, and the topic of discussion revolved around:
  • Malaysian regulators’ guidance and requirements on disclosure and reporting on ESG issues
  • Regulatory enforcement on false and misleading statements on ESG issues in prospectuses & information memorandums
  • Directors’ fiduciary duties and duty of care in taking into account ESG matters such as climate change for equity investments and M&A
  • Risk of litigation by investors and other stakeholders for failure to prepare for net zero transition and misrepresentations on net zero goals
  • ESG integration with Islamic Equity Financing.
 
This webinar also had sessions delving international ESG regulatory trends and developments across Asia, US and Europe, in particular, ESG reporting obligations, and incorporation of ESG into transactions as well as technical and policy perspectives were examined, specifically, the landscape of business risks and opportunities including systemic risks and regulator’s responses with foreign counsel from Latham & Watkins LLP and environmental consultant ERM.
