Securities Commission issues guide on Venture Capital and Private Equity

The Securities Commission Malaysia (‘SC’) issued its Practical Guide on Venture Capital and Private Equity in Malaysia (‘the VCPE Guide’) on 13 June 2024.
 
The VCPE Guide will provide prospective venture capital (‘VC’) and private equity (‘PE’) fund managers and industry stakeholders with an overview of the legal, regulatory and policy requirements and considerations applicable to VC and PE operations in Malaysia.
 
The VCPE Guide covers six areas, namely: 
  • Regulations and Registration of VC and PE Firms;
  • Fund Structuring;
  • Fund Management Operations;
  • Fund Marketing;
  • Foreign Exchange Policy; and
  • Tax Matters. 
It also provides a summary of the Anti-Money Laundering and Anti-Terrorism Financing Compliance Requirements under Malaysian law.
 
The VCPE Guide has been prepared by the SC in collaboration with Bank Negara Malaysia, Labuan Financial Services Authority, Malaysian Venture Capital and Private Equity Association and EY Tax Consultants.
