Theresa Chong graduated from University of Malaya in 1977. She was admitted as an advocate and solicitor of the Malaysian Bar in 1977 and commenced legal practice with Skrine immediately. She became a partner of Skrine in 1986. She has over 30 years’ experience in the areas of Banking & Finance and Corporate & Commercial.

Theresa’s experience includes advising foreign corporations in respect of setting up businesses in Malaysia, joint ventures and other forms of investment structures in Malaysia, assisting Malaysian clients in respect of setting up businesses outside Malaysia, drafting and negotiating documents in respect of project finance, property finance, corporate banking, retail banking, restructuring and work-outs and venture capital; advising, drafting and negotiating commercial documents including documents in respect of transactions or business activities in the automotive, hospitality, pharmaceutical, manufacturing sectors; mining, drafting and negotiating documents in respect of property transactions, setting up of trusts and charities.

Selected Experience

• Advising and drafting of agreements relating to joint ventures in Malaysia, technical assistance agreements and management agreements, drafting of Memorandum and Articles of Association of companies incorporated in Malaysia;
• Advising, drafting, negotiating distributorship licensing agreements and related agreements in relation to automotive industries, agreements in relation to iron ore and other mining projects in Malaysia;
• Assisting Malaysian corporations to set up businesses outside Malaysia and drafting relevant documents
• Drafting and advising on syndicated loan facilities for the purpose of project financing including the drafting of security documents such as debentures, assignment of project proceeds account, assignment of project proceeds, assignment of cash control account, assignment of insurance proceeds, assignment of sub-contracts, assignment of advance payment guarantees, memorandum of deposit and assignment of performance bonds;
• Advising offshore lenders in respect of security to be given by Malaysian corporations, drafting Malaysian security documentation and issuing counsel's opinion;
• Advising and drafting documents in relation to property development; advising,drafting documents and setting up structures in respect of gated communities;
• Advising and drafting of agreements relating to the sale and purchase of industrial lands where the vendor is either the State Economic Development Corporation or private developers;
• Advising and drafting debt restructuring agreements and work-outs;
• Advising and acting for offshore funds in respect of investment in forestry projects;
• Advising and acting for offshore funds in respect of investment in Clean Development Mechanism (CDM) projects;
• Advising on private trusts as well as setting up charities and drafting relevant trust deeds; and
• Advising and drafting of management agreements relating to the management and operation of hotels by international hotel chains.
