Sheba Gumis was admitted to practice as an Advocate and Solicitor of the High Court of Malaya in April 2010 and joined Skrine as an Associate in the Corporate Division. Armed with her experience in mergers & acquisitions and foreign investments, she recently completed her Masters in Corporate Law at the University of Cambridge, United Kingdom.

She is now a Partner with Skrine’s Corporate Division.

  • Assisted in the acquisition of three Malaysian quantity surveyor companies by a professional technical management support services conglomerate. Advised on the share sale documentation and assisted in the completion of the share sale.
  • Assisted in the potential acquisition of two Malaysian technology companies by a Japanese public corporation. Assisted in advising the structure of the Proposed Transaction, carried out due diligence on the target companies and assisted in the drafting of the share sale documentation.
  • Assisted as underwriter’s counsel in the potential initial public offering of a Cayman company with Malaysian subsidiaries on the Hong Kong Stock Exchange. Advised on legal issues relating to the Bursa Listing Requirements, land acquisition and mining laws.
  • Represented the Canada-based Fairfax Asia Ltd as the buyer for PacificMas Bhd’s entire stake in its wholly-owned unit, Pacific Insurance Bhd. Assisted in the due diligence process.
  • Represented the shareholders of MTM Multimedia Sdn. Bhd. in its disposal of their entire respective shareholding constituting 100% of the shareholding in MTM Multimedia Sdn Bhd to Proto Corporation, a Japanese corporation listed on the Tokyo Stock Exchange. Assisted in the drafting of the share sale agreement.
  • Represented a Japanese corporation in its purchase of 27.5% shares in an oil palm plantation company in Sarawak. Assisted in the drafting of the share sale agreement, the shareholders agreement and during the due diligence process.
  • Assisted in an exercise by United Malayan Land Bhd., a public listed company in Malaysia, to issue bonus shares to its shareholders. Advised on legal and regulatory compliance in relation to the exercise and carried out the due diligence exercise.
  • Represented an Australian mining corporation in its sale of its wholly owned Malaysian subsidiary to a Malaysian buyer.
  • Assisted in the indirect purchase of Telmar Network Technology Sdn. Bhd. by Jabil Circuit, Inc., a Florida based corporation listed on the New York Stock Exchange, through the purchase of the former’s holding company, Telmar Network Technology, Inc. Led the due diligence process and handled the completion on the Malaysian side.
  • Assisted in the incorporation of FM Cosmetics Malaysia Sdn. Bhd., a direct sales company affiliated with Poland based FM Group World, advised on the various laws and regulations relating to direct sales and cosmetics in Malaysia and assisted in the application for direct sales license.
  • Assisted in the sale and purchase of 20% shares of a quarry company by a Singaporean based investment holding company. Conducted the due diligence process, assisted in the drafting of the sale and purchase agreement and assisted in the completion of the said sale and purchase agreement.
  • Headed various legal due diligence including on companies involved in manufacturing consumer products, electrical products, mining, quarrying, oil palm plantations and others.
  • Advised on several foreign investment transactions in Malaysia and advising generally on legal and regulatory compliance issues involving regulatory authorities such as Malaysian Industrial Development Authority, Ministry of Domestic Trade, Cooperatives and Consumerism, Bank Negara, Inland Revenue Board and others.
  • Advised companies in various industries on issues relating to company law and other applicable laws relevant to the particular industry including regulatory authorities’ guidelines, policies and requirements in Malaysia.
  • Advised and acted on behalf of clients in submission of applications for approval to the regulatory authorities including application for licences, statuses, waivers and exemptions.
